Type 1 - New s.r.o. company formation for 30.000 CZK - Basic Capital required

Alexio sets up a new company in about 3 weeks* (the initial paperwork can be signed within 1 hour), we'll go to the authorities to pick up all required czech documents and have your foreign documents translated, so you only have to sign a couple of Power of Attorneys and deposit the basic capital to the future company bank account.

The price for a new s.r.o. company is 30.000 CZK / 1.200 EUR / 1.700 USD

3 weeks is mostly spent waiting for the Trade License Register and the Commercial Court.
The preparation of the POAs, company formation documents and opening the bank account is a matter of days /hours.

Why forming a new s.r.o. company is better than a ready-made / off-the-shelf company

If you want a ready-made company for reasons of not having the basic capital,
it is much faster, cheaper and easier to register a personal trade license instead,

We do not recommend buying a ready-made company for visa-purposes. Not depositing the basic capital yourself is a strong indication for the foreign police that you do not have not enough money and therefore a visa application may be rejected.
A common mistake is to think that a ready-made company is faster than a new one. This not the case. Yes, one becomes immediately director after signing the transfer documents but before the changes show up in Commercial Court and paper proof can be collected (for example for visa purposes) exactly the same amount of time as for registering a new sro company has been spent.
Ready-made companies usually have a name that does not match with your activities, an address that you will have to change immediately and almost never have any trade licenses, so in order to do business they need to be added, leading to extra expenses and delay in registration.
Becoming a director of a ready-made company means that there is no basic capital on the account. It has been taken out in cash by the previous director. This means that there is a 200.000 CZK hole in the petty cash - something that will become your responsibility.

Please take it from us. If you want an s.r.o company, deposit the basic capital yourself and form a new one.

Remote company formation through the embassy - Director not in Czech Republic

If (one) of the owners (jednatels) / shareholders is not able to come to Czech Republic for signing we can form the company remotely, the person will sign the documents at the czech embassy abroad.

There is an additional cost of 10.000 CZK for preparing, sending and handling all documents.

No 'starting from ...' price or hidden fees

We do not use a 'starting from ...' price as some companies that advertise a much lower price such as 9.900 CZK, that doesn't include for example founding documents, notary fees, trade license and court fees.

Our price includes everything: our services, company formation documents, notary fees, all trade license and court fees. What you read here on this page is what you are going to pay.

If the company is going to be VAT-registered, VAT will be added to the price.
If the company is not going to be VAT-registered or is based abroad, NO VAT will be added to the price.

Company formation expenses are fully deductable as startup-costs and can be put into the new company.
Also we can issue the invoice to another (foreign) company or private individual.

Trade licenses for s.r.o. Companies

Each company needs to have at least one trade license. This license allows you to conduct business activities in that specific area. We highly recommend to choose more than one trade license at the company start, because if at a later point in time you would like to add a business activity, the company needs to re-filed at the trade license register. This costs time and money.

We help you select the right tradelicenses at the set-up of the company.

We can always add / change trade licenses after company formation (also for sro companies we did not form)

Registration at the Taxoffice, Filing a Corporate Income Tax Return

After the company formation is complete, it must be registered within 30 days at the tax office for corporate income tax (and optionally for VAT and employees).
The registration for corporate income tax is included in the price of the company formation.

A company must file a corporate income tax return each year, even if the company has had no activities.
Costs of the corporate income tax return depend on how much documents need to be processed, but starts at 7.500 CZK for a 0 Tax Return.

Applying for a Business Visa / EU Residence Permit

3rd-Country Nationals that are director of an s.r.o. company, do not need a Work Permit or Employment Visa.
Instead of those, they need a Long-term D-Visa for Business purposes, which has to be applied for outside Czech Republic (in most cases in the home country).

Applying for a business visa at a Czech embassy will take 3-4 months, in some countries even longer.

EU-citizens that are here for business purposes do not need a business visa, but instead are obligated to register an EU temporary residence permit. This however can be done upon arrival.
